Terms and Condition
AFFILIATE AGREEMENT
This Agreement is made between VersaMarket LTD., a company duly incorporated under the laws of United Kingdom, with its registered address at 71-75 Shelton st, Covent Garden London, WC2H9JQ, United Kingdom (Company), and an individual person ("Partner").
WHEREAS:
- The Company is engaged in the business of selling beauty and wellness products and operates under an Affiliate Marketing business model. - The Partner desires to join the Company’s Affiliate network as an independent distributor and promote the Company’s products in accordance with the terms of this Agreement.
NOW, THEREFORE
, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
1. APPOINTMENT
The Company appoints the Partner as an independent distributor to market and promote the Company’s products in accordance with the terms of this Agreement. The Partner is not an employee, agent, or legal representative of the Company but an independent contractor.
2. PARTNER’S RESPONSIBILITIES
The Partner agrees to:
a) The partner agrees to provide the Company exclusively with marketing and informational services aimed at supporting and increasing the sales of the Company's products.
b) The result of the services provided is the purchase of goods from the Company by third parties attracted by the Partner.
c) Adhere to all applicable laws and regulations governing Affiliate businesses in the Partner’s jurisdiction.
d) Provide accurate and truthful information to customers and potential new Partners.
e) Not engage in any unethical or misleading marketing practices.
f) Attend training sessions and meetings provided by the Company.
g) The partner does not have the right to sell the Company's products in stores, on thirdparty websites, or on marketplaces or by any other means.
The Company agrees to:
a) Timely pay the Partner commission in accordance with Section 3 of this Agreement.
3. COMPENSATION
The Partner shall be entitled to the following compensation:
a) Commissions: The Partner will earn commissions based on the sales volume generated by the Partner and their downline team, as per the Company’s compensation plan.
b) Bonuses: The Partner may be eligible for bonuses, incentives, or rewards as outlined in the Company’s compensation plan.
c) Payment Terms: The commission will be paid on a weekly basis, within 2 working days after payout is requested by the Partner. The deadline for payout request is each Saturday 9pm UK time. The Affiliate shall receive a report detailing the calculation of the commission.
d) Commission will not be paid on sales taxes, duties, or any other charges related to the sale of the product.
e) The Partner is responsible for paying income tax in the country where he/she is a tax resident. All liability for non-payment of taxes rests solely with the Partner.
4. NEW PARTNERS RECRUITMENT
The Partner may recruit other individuals to join the Company’s Affiliate network. The Partner shall:
a) Provide training and support to their team members.
b) Ensure that all team members comply with the Company’s policies and procedures.
c) Not engage in unethical recruitment practices, such as making false income claims or pressuring individuals to join.
5. TERM AND TERMINATION
a) Term: This Agreement shall commence on the Effective Date and continue until terminated by either party.
b) Termination: Either party may terminate this Agreement at any time by providing 14 days written or email notice to the other party.
c) Effect of Termination: Upon termination, the Partner shall no longer be entitled to receive commissions or bonuses, except for those earned prior to the termination date.
d) This Agreement can be inherited by the person specified in the will.
6. ACCOUNT ACTIVATION
a) Activation: The Partner’s account will be active 6 months since the last personal purchase of any product is made at the Company’s website.
b) Deactivation: The Partner’s account will be deactivated after 6 months since the last personal purchase of any product is made at the Company’s website. Upon deactivation, the Partner shall no longer be entitled to receive commissions or bonuses, except for those earned prior to the deactivation date.
c) Reactivation: Once the Partner makes personal purchase of any product at the Company’s website, his/her account becomes active for 6 more months and the partner is entitled to receive commissions and bonuses for this period.
7. AMENDMENTS TO THE AGREEMENT
a) The Company has the right to amend this Agreement at any time unilaterally by notifying the Partner of such changes via email.
8. DATA PRIVACY AND PROTECTION
a) The Partner must comply with all data protection laws and regulations applicable to them in their handling of user data obtained in relation to this Agreement.
b) The Partner must not disclose, or allow any third party to access, any user data without the prior consent of the Company.
9. CONFIDENTIALITY
Each party agrees not to disclose or use the other's proprietary information without the prior consent of the other party. This section shall remain in force even after termination of the Agreement.
10. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of United Kingdom. All disputes arising under or in relation to this Agreement shall be subject to the exclusive jurisdiction of the courts of United Kingdom.
11. ENTIRE AGREEMENT
a) This Agreement constitutes the entire agreement between the Parties concerning this transaction, and replaces all previous communications, representations, understandings, and agreements, whether verbal or written between the Parties to this Agreement or their representatives.
b) By accepting this Agreement you agree to its terms.
